1. Acceptance of Terms

Welcome to Aurevia Labs. These Terms of Service ("Terms" or "Agreement"), together with our Privacy Policy, form a legally binding agreement between you ("you", "your") and ELYXSHAFT LLC ("Company", "we", "our", or "us"). The Company’s business address is 16192 Coastal Hwy, Lewes, DE 19958, United States.

These Terms govern your access to and use of our website(s), content, products, and services, and any purchase you make through the site (collectively, the "Service"). By accessing the Service or placing an order, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility and Use of the Service

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. All products are intended for personal, non-commercial use only.

We reserve the right to refuse service, cancel orders, suspend accounts, or terminate access to the Service at our sole discretion, to the extent permitted by law.

3. Products and Sales Terms

All products sold through the Service are nutritional and supplement products intended for ingestion. They are not conventional foods and are not intended to replace a varied diet.

All prices are listed in U.S. Dollars (USD) and exclude applicable taxes and shipping fees unless otherwise stated. We reserve the right to correct pricing errors, limit quantities, modify or discontinue products, and refuse or cancel any order. Order confirmation does not constitute acceptance. The contract of sale is formed only once your order has been processed and shipped.

4. 30-Day Refill Program / Recurring Billing

Certain offers and bundles sold through the Service include enrollment in our 30-day automatic refill shipment and recurring billing program (the "Refill Program"). Whether your purchase includes enrollment in the Refill Program depends on the specific offer you select. If an offer includes the Refill Program, this will be clearly disclosed on the product page and at checkout before you complete your purchase.

If you select an offer that includes the Refill Program, you will be automatically enrolled upon completing your order. By placing an order that includes the Refill Program, you authorize the Company and its payment processors to charge your selected payment method for recurring refills on a 30-day basis at the then-current program price shown at checkout, plus applicable taxes and shipping fees, unless you cancel. No additional confirmation is required for each recurring charge.

After you place an order that includes the Refill Program, you will receive an email confirmation summarizing the recurring billing terms. In addition, we will send a reminder email approximately 3 days before your next scheduled recurring charge, unless otherwise required by law or if the email is undeliverable.

The billing schedule, amount, and frequency will be shown at checkout and in your order confirmation. You are responsible for reviewing these details prior to completing your purchase.

Orders are processed prior to shipment. Once an order has entered processing, it may not be canceled and may still ship even if you subsequently request cancellation.

You may cancel the Refill Program at any time by contacting Customer Support. To avoid being charged for the next refill, cancellation must be received at least 3 days before the next scheduled billing or processing date. Cancellation applies only to future shipments.

5. Payment Authorization

By providing a credit card, debit card, or alternative payment method (including Apple Pay, Google Pay, or PayPal), you represent that you are authorized to use the payment method and authorize us and our payment processors to charge all applicable amounts, including recurring Refill Program charges.

If a payment fails, we may retry the charge, suspend shipments, or cancel your enrollment in the Refill Program. You are responsible for any bank or issuer fees.

6. Shipping and Delivery

We ship products to addresses located within the United States only. Delivery dates are estimates only. Title and risk of loss pass to you upon delivery to the carrier, except where prohibited by law. Carrier delivery confirmation constitutes proof of delivery.

7. Refunds and 90-Day Satisfaction Guarantee

Except as expressly stated below or as otherwise required by applicable law, all sales are final.

90-Day Satisfaction Guarantee (First-Time Customers Only). We offer a limited 90-day satisfaction guarantee on eligible first-time purchases made directly from our website. The 90-day period begins on the date the order is marked delivered by the carrier.

To qualify for a refund, you must:

  • Submit a request within 90 days of delivery

  • Be a first-time customer (one claim per person, household, or address)

  • Have purchased directly from our website

  • Have used the product as directed for a reasonable period, unless discontinued due to an adverse reaction

  • Provide order verification and any requested information

  • Return remaining product(s) if requested, following provided instructions

The guarantee does not apply to repeat purchases, bundles marked final sale, third-party purchases, gift cards, or cases of suspected abuse or fraud. Approval of a refund does not cancel the Refill Program. You must cancel the Refill Program separately to avoid future charges. Refunds, if approved, apply only to the product purchase price. Shipping, taxes, and handling are non-refundable to the extent permitted by law.

8. Health and Regulatory Disclaimers

Our products are not drugs and are not intended to diagnose, treat, cure, or prevent any disease. Statements on the Service have not been evaluated by the Food and Drug Administration (FDA).

Information provided is for general informational and educational purposes only and does not constitute medical advice. You should consult a qualified healthcare professional before using any product, especially if you are pregnant, nursing, have a medical condition, or are taking medication.

Individual results may vary and no specific outcomes are guaranteed.

9. Intellectual Property

All trademarks, logos, text, graphics, and content available through the Service are the exclusive property of the Company or its licensors. You are granted a limited, revocable, non-transferable license to access the Service for personal use only.

10. Disclaimers and Limitation of Liability

The Service and products are provided "AS IS" and "AS AVAILABLE", to the maximum extent permitted by law. We disclaim all warranties, express or implied.

To the fullest extent permitted by law, our total liability shall not exceed the greater of $100 USD or the amount you paid for the product giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and agents from any claims arising out of your use of the Service or violation of these Terms.

12. Dispute Resolution and Arbitration

This Agreement is governed by the laws of Delaware, USA, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration administered by JAMS, on an individual basis.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.

13. Electronic Communications

By using the Service or providing your email address, you consent to receive electronic communications, including transactional and legal notices. Marketing communications are optional and may be unsubscribed from at any time.

14. Termination

We may terminate or suspend access to the Service or enrollment in the Refill Program at any time for violations of these Terms or applicable law.

15. Miscellaneous

These Terms constitute the entire agreement between you and the Company. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce any provision does not constitute a waiver. Performance may be excused due to events beyond reasonable control.
